Tuning Labs — Affiliate Program Agreement
1. Program Overview
Tuning Labs ("Company") operates an affiliate marketing program that allows approved individuals and entities ("Affiliate") to earn commissions by referring customers to Company software subscriptions. Participation is subject to approval and these terms.
2. Commission Structure
Affiliates earn a commission on each qualifying sale attributed to their unique affiliate code. The current standard commission rate is

—% for MasterCorp plans). By signing this agreement, this rate becomes your contracted commission and is locked for the duration of your participation. Commissions are subject to a 2-day hold period following confirmed payment. Commission fires on the initial sale and on every renewal invoice for the lifetime of the referred customer subscription. Commissions are voided if a sale is refunded or charged back.
3. Master Affiliate Tier
Master Affiliates who recruit and manage sub-affiliates earn an override commission on sub-affiliate sales in addition to their own direct commissions. Master Affiliate status is granted at the Company's discretion and may be revoked for inactivity or violation of these terms. Master Affiliates have 7 days to approve or reject sub-affiliate applications; unanswered applications escalate to the Company.
4. Prohibited Conduct
Affiliates may not: (a) send unsolicited bulk email or spam; (b) engage in cookie stuffing, ad injection, or any fraudulent traffic generation; (c) purchase or bid on paid search keywords containing "Tuning Labs," "Tuning Labs," "tuninglabs.net," or any confusingly similar variation; (d) make false, misleading, or unsubstantiated claims about Tuning Labs products, including income guarantees or earnings promises; (e) use Tuning Labs trademarks, logos, or brand assets without prior written approval; (f) promote through adult content, illegal content, or any platform that violates applicable law.
5. Payment & Tax Obligations
Affiliates are responsible for all taxes on commissions earned. A Form 1099-NEC will be issued to US-based affiliates who earn $600 or more in a calendar year. Affiliates must provide accurate W-9 information. The Company may withhold 24% federal backup withholding if a valid Taxpayer Identification Number (TIN) is not provided. Payout is processed within 48 hours of eligibility via the payout method selected during application (Stripe Connect, PayPal, or ACH). Payout methods can be updated from the affiliate dashboard.
6. Intellectual Property
The Affiliate is granted a limited, non-exclusive, non-transferable license to use approved Tuning Labs marketing materials solely for the purpose of promoting the affiliate program. All intellectual property remains the property of the Company. Affiliates may not modify, sublicense, or create derivative works from Company materials without written consent.
7. Confidentiality
Affiliates must keep confidential any non-public information about Company products, pricing, or internal operations disclosed during participation in the program.
8. Term & Termination
This Agreement begins on the date the Affiliate's application is approved and continues until terminated. Either party may terminate with 7 days written notice. The Company may terminate immediately for: material breach of these terms, fraudulent activity, or actions that harm the Company's reputation. Upon termination for cause, pending and unpaid commissions are forfeited. Upon termination without cause, earned commissions that have cleared the hold period will be paid at the next payout cycle.
9. Limitation of Liability
In no event shall the Company be liable for any indirect, incidental, punitive, or consequential damages arising from the Affiliate relationship, including lost profits. The Company's total liability is limited to the total commissions paid to the Affiliate in the 3 months prior to the claim.
10. Modifications
The Company reserves the right to modify these terms at any time. Affiliates will be notified of material changes via email at least 30 days before they take effect. Continued participation after the effective date constitutes acceptance of the modified terms.
11. Governing Law
This Agreement is governed by the laws of the State of Alabama, United States, without regard to its conflicts of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in English.
12. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the affiliate program and supersedes all prior understandings. If any provision is found unenforceable, the remaining provisions remain in full force.
